About the Role

As a Senior Director in our Corporate Governance and Activism group, you will advise clients on both proactive and responsive measures relating to activism, takeover defense, unsolicited and hostile approaches, governance and Board practices/policies, shareholder engagement and proxy-related issues. A successful Senior Director will demonstrate an ability to translate knowledge of corporate governance, activism, M&A, and proxy voting into actionable advice for clients to help them secure shareholder support in complex and contentious situations.


The Senior Director should be confident in an entrepreneurial environment, with the ability to establish and maintain strong client relationships, deliver high quality work, be ambitious and eager to learn, and contribute to internal practice development initiatives as well as new business activities.

About Strategic Communications 
We provide our clients with a comprehensive view of strategic communications that leverages our integrated suite of services, including financial communications, corporate reputation, transaction communications and public affairs in all the major markets around the world.

What You'll Do

• Work with Senior Managing Director to lead execution of client engagements and manage all aspects of day-to-day client engagements

• Conduct analyses of clients’ corporate governance practices, vulnerability to an activist approach, and messaging gaps

• Support the development, production and marketing of thought leadership surrounding emerging trends and issues

• Proactively identify opportunities to grow existing client business, as well as new client opportunities

Basic Qualifications

• Bachelor’s degree. MBA or JD is a plus

• Excellent communication skills, written and verbal

• At least 5 years of experience in an investor or advisory role analyzing corporate governance matters

• Experience with shareholder activism is a must. Experience with social activism is a plus

• Self-starter with ability to work in a fast-paced, multi-tasking, deadline-oriented dynamic environment

• Ability to advise and secure confidence of senior leaders and C-level client contacts, as well as other outside legal and financial advisors

• Advanced proficiency in PowerPoint, Excel and Word
