ABOUT THE OPPORTUNITY:

 

The HR Transaction Services (HRTS) group is a practice within FTI which will support our internal M&A teams across all stages of the deal continuum - from pre-Sign to Sign and Close.  We combine deep technical expertise in the HR, compensation and benefits space to help our clients make informed decisions. Clients served tend to be 75% private equity, and 25% corporate clients.

   

PRIMARY DUTIES:

 

We are currently seeking a Senior Consultant for our HR Transactions-Services (HRTS) group within our Transactions & Restructuring practice.

 

 

Responsibilities:

 

• Perform buy and sell-side financial HR due diligence, as well as global HR post-deal integrations with respect to mergers, acquisitions, spin-offs, carve-outs, and other similar transactions for Fortune 1000 and middle market companies and private equity investors

 

• Work with FTT’s TS teams in the due diligence stage to analyze target company data to identify key HR-related financial exposures, including those related to pensions, postretirement medical, executive agreements, change in control / severance plans, Section IRC 280G ("Golden Parachutes"), active health and welfare, multiemployer, deferred compensation (IRC 409A), equity compensation plans, and collective bargaining agreements.

 

• Work with FTI’s carve-out and merger integration teams (and other outside advisors / vendors) on HR transition and integration engagements, focusing on the establishment and merging of HR, compensation and benefits platforms, providing PMO oversight across the various key HR workstreams, including Day 1 readiness, SPA / TSA maintenance, employee transition & offer letters, HR target operating model, retention / severance / RIFs, payroll / HRIS, compensation and benefit plans, and employee communications.

 

• Participate in the engagement process from start to finish, including assisting with setting scopes, budgets, creation and coordination of client-ready deliverables with FTI's engagement teams, and direct communication of results with clients.

 

• Team with staff at similar levels to knowledge share and develop others.

 

 

BASIC QUALIFICATIONS:

   

• Bachelor’s degree from an accredited university/college;

 

• Is on track to attain their ASA, FSA, Enrolled Actuary (EA), or JD designations.

 

• At least 2 years of actuarial experience in the valuation, design, and implementation of pensions, post­ retirement medical, health and welfare and / or compensation plans with a top accounting or benefits consulting firm.

 

• Experience in M&A due diligence, carve-outs and/or HR integrations, including implementation of compensation and benefit plans preferred but not required.

 

• Ability to travel up to 30% of the time.

 

 

 

PREFERRED SKILLS:

 

 

• Highly motivated, self-starter, team player, with positive attitude and strong relationship-building skills.

 

• Advanced analytical and issue resolution intelligence. Problem solving is essential.

 

• Strong written and verbal communication skills, as report writing is required to serve TAS clients.

 

• Ability to interface with team members and client personnel in demanding, deadline-driven situations.

 

• Proficient with PC environments and related software, including Microsoft Office applications. Especially advanced skills in Excel and PowerPoint preferred.

 

• A strong aptitude for quantitative and qualitative analysis and the ability to link business strategy to performance and due diligence findings.

 

• Ability to work independently in fast-paced, multi-tasked environment.

 

• Ability and willingness to learn and adapt in an ever-changing environment to meet client needs.
