Senior Director, State and Local Transaction Tax | Corporate Finance & Restructuring
About The Role
FTI Consulting is seeking a Senior Director with State & Local Tax experience to join our growing Transactions Tax team. Our Transactions Tax team is aligned with FTI Consulting’s Corporate Finance & Restructuring organization. We focus on our clients’ strategic, operational, financial and capital needs by addressing the full spectrum of financial and transactional opportunities faced by corporations, boards, private equity sponsors, creditor constituencies and other stakeholders.
With teams based in North America, the United Kingdom and Dubai, our Transactions Tax team is situated to advise domestic and multinational businesses on a variety of tax matters ranging from tax transaction support to best practice process implementation and structuring. FTI Consulting provide client-centric tax advisory services focused on mitigating tax risk and minimizing cost.
You will also work with and learn from our senior management team who are leaders in their field and qualified in accounting, tax, law and real estate surveying. Our team also includes valuations and technology experts and economists.
What You’ll Do
As a Senior Director on the Transactions Tax team within our Tax Services practice, you will work closely with the team to deliver excellent client service. This Senior Director will leverage deep tax technical expertise to:
Support corporate and private equity clients with tax due diligence, structuring, and modeling across buy-side and sell-side transactions, as well as deal execution and integration planning
Prepare client-ready tax due diligence reports for C-suite audiences
Direct complex tax research and develop tax planning strategies
Apply and interpret state tax laws in due diligence across income/franchise, gross receipts, sales/use, property, employment taxes, and unclaimed property
Review and comment on tax aspects of financial models, structuring analyses, purchase agreements, and disclosure schedules
Assist clients with a broad range of state tax matters, including compliance, planning, and controversies across multistate operations
Evaluate multistate tax footprint, including nexus and filing obligations, and advise on state tax implications of operational changes across income and non-income taxes
Review state income/franchise tax returns throughout the preparation and filing process
Support alignment of state tax compliance, reporting, and systems across entities and jurisdictions related to changes in business operations, transactions, or reorganizations
Manage assigned workstreams end-to-end, delivering high-quality outputs, enabling timely review, and adapting to evolving priorities
Maintain effective communication with clients and engagement team members, while keeping senior team members informed of progress and key issues
Identify and track pull-through opportunities and additional services arising from client needs and transaction dynamics
Build and maintain strong client relationships through consistent delivery, responsiveness, and thoughtful insight
Contribute to team development by providing guidance, feedback, and mentorship to junior team members

Collaborating with clients in all stages of the deal life cycle, you will work with clients across corporate functions such as finance, treasury, human resources, operations, information technology and risk management to analyze and evaluate the tax profile and to implement planning designed to help meet each organization's global goals, strategies and business objectives.
What You Will Need To Succeed
Basic Qualifications
Bachelor’s Degree in Accounting, Finance, or related field of study
8+ years of post-graduate combined professional experience
Ability to travel to clients and FTI office(s)
Applicants must be currently authorized to work in the United States on a full-time basis; the employer will not sponsor applicants for work visas
Preferred Qualifications
MS, JD and/or CPA
6+ years of state and local tax experience with a national public accounting firm, law firm, or corporate tax department of a multinational company
Experience with tax due diligence, structuring, and/or modeling in a transaction environment
Experience with multistate income tax compliance for corporate and flow-through structures
Strong knowledge of state income and non-income taxes, and unclaimed property
Demonstrated ability to manage workstreams and collaborate effectively across engagement teams
Strong analytical and research skills, with the ability to effectively analyze and apply rules across a broad range of tax areas and client situations
Strong written and verbal communication, presentation, and project management skills
Proficiency in MS Office suite, including MS Excel and PowerPoint
Exposure to and familiarity with standard tax applications and research tools
